You would notice improvement if you get the best C2Q CPU ...Q9650. Or at least Q9550. If not, then there is no point in upgrading. But Fx 6300 + Gigabyte Mobo + DDR3 RAM is a better deal for almost the same price as those C2Q CPU's.

Stock fan is alright, but even if the fan becomes noisy, it's good that you already have a cooler as a replacement. No need to upgrade your PSU :)
