If ur CPU supports a 64bit Version the only way to upgrade from the 32bit version is to make a clean install of the OS in 64bit. To do so create a Bootable device (DVD or USB-Stick) and boot from that device.

What do you mean by "is still running"?

Sounds like a dying Power Supply to me. Try powering the PC with another PSU and c if that fixes it.
