4 bad sticks of ram?

I am running Windows7 (32 bit) on an Asus M3A78 with 4 gb of GSkill ddr2 ram. Amd Phenom 9850 quad-core (black edition) CPU. 750w Corsair PSU. Radeon 5770 GPU. Here is the list of problems I am having: 1) USB keyboard randomly stops working. After a few mins, it starts working again. Mouse & keyboard are both Logitech & share a USB adapter. I have changed the batteries in the keyboard twice. Never have a problem with the mouse. 2) Computer goes to a black screen crash randomly. No BSOD. 3) Sims3 constantly gives me error 12 which is memory related.

I did get an error screen on restart once. Said my CPU overheated. I immediately cleaned all dust & reapplied thermal paste. Haven't seen that error message again.

I had my PSU tested & it works perfectly. I swapped out my GPU for a slightly older one that I know works. Same problems. I ran memtest on all 4 sticks of ram individually. All 4 sticks got a black screen crash with no errors showing at test 8. I moved them to the next slot on the mobo. Same thing. Tested all 4 together. Same thing. Tested them in the 2 remaining slots. Again, same thing.

Do I really have 4 bad sticks of ram or is this something deeper?
 
Solution
Based on your other issues, probably motherboard failure. Check the capacitors for bulging and any other visual defects.
Unless you had a really nasty lightning strike which damaged all 4 sticks, and considering the fact that you're having random problems with -all- your hardware, have you considered the fact that it might be your motherboard?

Overheating CPU? Random dropouts of of USB? Memory errors on all 4 sticks?

A bad motherboard could be the cause of all those things. You're running a AM2/AM2+ motherboard which puts it several generations back, and if your capacitors are going bad that would explain a lot of the issues.
