I am stuck between 2 choices which are
BenQ RL2455HM 60hz
and
BenQ XL2411Z 3D 144hz

The price difference between them is almost 100$ which isn't few , the question is I have gtx 970 which will be able to run modern games at 60 fps as i saw in benchmarks . so will i notice any difference between them ? and if yes , does it deserve the price difference . Last thing does the benq xl2411z have build in speakers ?

Check out Toms AOC G2460PQU review here it makes the case for 144Hz (249$ Best Buy);

@Suzuki @Shock0 you need to read this review of the LG 24GM77 also;
http://www.tomshardware.com/reviews/lg-24gm77-gaming-monitor,4082.html

It has 8 bit color depth and 'A near-perfect 100.49 percent sRGB gamut volume means you could use this display for color-critical work without calibration. Very few monitors come this close to every standard in our color tests. And don’t forget, it sells for around $300.' Sounds like good color to me ;-)
They are both TN panels, meaning bad color and contrast. However this is a tradeoff a lot of people can accept because of the higher refresh rate. It makes no sense going with a 60 Hz TN panel when there are 60 Hz IPS panels at the same price. You will notice a difference, the 144 is far better and will feel smoother than that 60 Hz.

Solution
Which is fairly capable with a 970 of pushing 90-100fps.
Choice is yours mate - if you're happy with a fps lock of 60fps at absolutely maxed out settings on games vs dragging settings down to high to make the most of the 144htz screen my choice would be the 60htz screen.
Its a proven panel & probably the best 60htz tn gaming panel on the market.
No experience of the other one.

I wouldnt feel that bad color when i have been using 720p laptop that ran most on games at low , so either of those screens wont be bad choice

A TN panel can never look as good as an PLS/IPS, maybe a VA but I still doubt that. The LG 24GM77 is a $500 monitor, it should stand out. If it didn't, I'd be very surprised.

This would be a much better buy: http://www.amazon.com/LG-IPS277L-BN-LED-Monitor-68-58cm-27/dp/B008968O0U

IPS, 75 Hz, 1920x1080, 5 ms.

@Shock0

My links to the reviews were to help you understand the value of 144Hz not to suggest another choice. I don't see speakers listed for the 144Hz only on the 60Hz model BenQ.

I think you should get the 144Hz monitor BenQ XL2411Z 3D 144hz it is a great price/value unless you wanted speakers.

The AOC G2460PUQ 144Hz model I linked to has speakers and is cheaper than the BenQ
