760K OC'd to 4.3 GHz to i5-2500K for $120, worthwhile upgrade?

So as mentioned above I currently have a 760K OC'd to 4.3 GHz and can get a ASRock Z77 Extreme4 LGA 1155 with an i5-2500K from a friend for $120. I'm just trying to figure out if this is an upgrade worth the money and wanted to get some other peoples thoughts on this.

Performance wise it is a big upgrade.

I still use a 2500K it is still a really good chip, especially when you overclock it a little.

If you are getting both the board and the cpu for $120 then i'd say its a good upgrade, especially once you OC the 2500k.
