Currently I'm using Windows 7 Ultimate (not updated to SP1) & while installing Max Payne 3 "BSOD" tends to turn out, so is there any way of installing Max Payne 3 without updating my OS to SP1, plzz help me out .....................

what is the error code on the BSOD? should be like 0x00000006 or something.

According to the minimum requirements you need SP1.

Cant figure out for the life of me why you wouldn't want to have sp1....... unless you have a pirated version.......

95% of Ultimate setups are pirated. Which is why you see people with Pentium 4 systems running a $300 Win 7 Ultimate edition LOL.
