I actually have a AMD Athlon II X3 440...
I'm looking forward to buy: AMD Athlon 5350 and GigaByte Motherboard...

FOR PLAYING GTA 5 W/O LAG

Should i Stick to it or invest same money in better RAM?

I would recommend purchasing an i3 6100 and 750 ti, you should be able to play those game very well with it.

Thats graphics card, ram and processor is simply not able to run GTA 5 without alot of lagg. May i ask what resolution you will be playing at? Also could you list all the parts you already own, and the budget that you have to upgrade your PC to play GTA 5.

GT 730 and
5350 are ok for GTA 5 ultra

 
Wherever you read that, the source was mistaken. The Athlon 5350 is basically a tablet/phone CPU and has no place in a desktop PC. It's somewhat slow even for things like web browsing, performing on par with something you could get in 2005-2006. I work at a PC shop and when people come in with AMD cat-core machines, I generally recommend they recycle them and move to something more modern.

What about Core 2 Quad Q6700 + GT 240 + 4gb @1600Mhz?

 
The GT 240 is much slower than an i3's integrated graphics. It's not a gaming GPU at all, and is barely adequate to play modern HD video.

The Q6700 would be faster than an Athlon 5350, but it's a 10 year old CPU, and many 775 motherboards are on their last leg. Also, by today's standards, its power usage is atrocious. When I moved from a Q6600 to my current i5, my idle power consumption dropped from 175w down to ~35w, which equates to about $200 per year in electricity if you leave your PC on all the time.

EDIT: Gaming is an expensive hobby. Not as expensive as some, but you're just not going to get a machine that can run GTA V smoothly for less than $3-400.
