Another Random Hard Freeze Thread

Hey guys, I have been having A LOT of problems with my computer for the last two weeks and have browsed these forums for any shred of info that can help, i have done a lot of testing so bear with me while i explain the situation.

Specs:
Mobo: ASRock H61M/U3S3
CPU: Intel i5 2500K 3.3GHz
RAM: (Phase 1 = Corsair XMS3 8Gb dual kit 1333)
(Phase 2 = My friends Transcend JM1333KLN-8G dual kit 1333)
PSU: Antec True Power 650
GPU: Radeon HD7770 1Gb

The computer is about 4 years old with the PSU, GPU and RAM being replaced about 2 years ago.


TL;DR
Computer hard freezes at random times/loads, lots of tests run, down to CPU, MOBO or PSU, sometimes doesnt POST. Pls Help :)

Symptoms:
About a week ago it begun hard freezing, no keyboard, no mouse, no sound loop, keyboard light stayed on but capslock wouldnt toggle etc, had to hard reset.

Did the usual take out the GPU launch off motherboard graphics, still froze

Next I ran memtest on each stick of ram, 1 stick had faults, the other crashed memtest.
Problem solved right?

Borrowed my mates RAM (had been tested on his rig to not be faulty for about 3 passes each) and my PC was still hard freezing and it would also exhibit another weird symptom where it would turn on, fans would run, but no power would go to the peripherals and it wouldnt even boot the Bios.

Finally I ran Ubuntu Live and managed to get on to it to run some diagnostics (at this point the only things plugged in are the CPU, MOBO and PSU and 1 stick of good RAM) (During this time i also found my boot HDD is corrupted, but that wsnt causing the crashes because it was crashing with it unplugged)
Everything ran fine, it has been running on ubuntu for the last few days with no crashes

But today it begun crashing again and exhibiting the same behavior with no POST but only fans and PC LEDs running

I don't think it is over heating, it is true i only have one fan (not including CPU, PSU and GPU fan) but several PC diagnostic tools have placed all temperatures well below danger level, also the sides have been off the whole time I've been testing and it is pretty moderate temperatures where I live at the moment.

Also there is no visible damage to any component I can see, I have unplugged and repluggled every connecting carefully and also have often cleaned and recently cleaned all the dust out of the heatsinks/parts

Tests Run:
Memtest => failed some ram, replaced the ram
BurninTest => never failed, but sometimes the PC would hard freeze whilst running
Intel CPU test => passed several times

So what am i looking at here guys? PSU or Motherboard, I've heard and read a lot about this and everything points to PSU, but it seems weird to me that it would fail even on such a low load. Would a Motherboard fail so erratically, or does it tend to fail in the same way every time?

Keep in mind i actually can't get into my computer right now, it is currently not booting the bios, but the fans/LED is running.
