As the title shows really...
I dont want to spend that much on a Mb as im spending more than i wanted in the 1 st place because ive had to upgrade stuff due to bottlenecking my graphics card because im a pc noob :D (cpu, mb and memory)
Is this combo ok? perhaps something equivelent? or something that will do the same justice cheaper like the msi 760 gm p34? or go slightly higher with an asrock 960gm?
Thanks in advance

To me it is, yes. But we all have different financial considerations. As far as overclocking that processor, the easiest way is simply raise the unlocked multiplier in BIOS. Don't even mess with the voltage, etc. or with OD... especially on an inexpensive board.

If you can fit an ATX board in your case, and you can up your budget by $25, this would be a better board.
