Asus Px658d Premium will not post after completely shutting down

All is working ok in windows 8.1, can do updates everything is fast. I can restart Windows as many time as I need to with no issues. Once I shut down completely here is what happens:
Upon starting again:
1. There is power to board all fans are running I get the RAM LED’s on but will not post.
2. Same as above but no RAM LED’s on.
3. I force shut down completely everything comes back on and now I can post.
I get the “Overclocking failure” error and I have to enter BIOS, once in BIOS all setting have not changed, so I exit BIOS and I am able to load into Windows 8.1 without any issues, once I shut down it starts all over gain . I have tried different type of memory brands the recommended by ASUS list and not recommended, different type of settings (1 stick, 2, 3 6 etc.) but with the same results. Using Xeon x5650 and corsair 850 PSU, the only thing I have not tried is the PSU or to check for bent pings on the socket, but I was thinking that it probably will not POST period if it had bent pins, am I assuming correctly? Today I will replace PSU. I bought the board used with CPU already installed. Your suggestion will be greatly appreciated. Thank you in advance.
 
Hello everyone! Last night instead of replacing PSU I decided to test it with an antec digital PSU tester and it turned out to be ok. Then when the RAM LED was was on I pressed it down like before but this time I held it down until it turned off and back on again, I proceeded to install 1 stick at a time and let it boot to Windows until I installed all 6 modules (12gb). No issues at all, was able to shut down completely and restart with no problems, even to the point of doing low level OC (2900mhz) howver after shutting down completely for the night and, restarting again this morning there was no RAM LED, just all the fans on, then I hit the rest button on my case and the LED came back on and booted to Windows with no issues. It is like when you jump start a car battery that needs a boost. If I go into BIOS all previous settings are there nothing changes. Well, it could be the board, bad capacitors, transistors etc. not an electronic guru! Please feel free to join in if you have a theory. Thank you.
 
Update....

Well, after 10 hours of PC being off I turned it on, all fans came on but no LED on RAM but, this time I did not have to intervene it did a self shut down and as self re-start and it booted right into Windows with no other issues!
