Asus Z97-C or Gigabyte Z97-D3H

Both are good boards. The asus one has slightly better sound card , hence better sound reproduction . NO differences in overclocking potential on paper. But Asus has a better rep amongst over clockers. And maybe the board has a little higher quality , but there is no proof .
