Can a pentium g3240 be overclocked same as pentium g3258?

Under stock speeds - it would be about the same, once overclocking the 3258 it would perform noticeably better.

Although getting an i3 would be overall much better.

Yes you very well can run at a solid 35 FPS Average, with high settings @ 1080p. GTA V PC is a reasonably well optimized game. Check this guy playing with this config:

Important Note:
Update to the latest GeForce Game Ready Optimized Driver Version 350.12 for Grand Theft Auto V and you will be good to go.
