Boxed CPU AKA Retail Box CPU - includes original heatsink, fan, manual, sticker, box, and 3 year warranty.
Unboxed CPU AKA OEM CPU - just the CPU itself - no extras. Warranty dependent and supplied by retailer.

There's a lot of confusion (and disagreement) on this very matter.

An interesting thread presenting Steve Benoit's opinions on this subject can be found <A HREF="http://forumz.tomshardware.com/modules.php?name=Forums&file=faq&notfound=1&code=1" target="_new"> HERE</A>.

While I have no direct knowledge one way or the other, I will say that I have read contrary opinions in several other forums.

Aren't the manufacturers supposed to have a minimum of 1 year warrenty on brand new items by law?
