Can I change my Motherboard ??

I want to change my motherboard. I have N68-S mbo, its an old DDR2 MBO and I have old CPU on it ( AMD Athlon 64 x2 ), so I decided to change it to a newer one. The problem is I don't know what MBO's can I fit on my computer case and what is the cheapest MBO can I get which is DDR3. I have my own GPU and Hard Disk, I only want to change my MBO and CPU cause they are very old. And does some motherboards supports only AMD processors or Intel cpu?
