My PC Specs-
Intel Core i3 540 3.06Ghz
8GB Ram DDR3
Nvidia GTX 960 2GB Edition

Update : I completed GTA V and it ran smoothly on medium settings. I could run it on high as well, smoothly, but at some times it got very laggy. Instead, I chose to run it on medium settings and I was getting 45-60 fps, always. Never dropped below 40.

Cheers.

Solution
yes indeed, cpu is not only weak since a dual core but a bottleneck for gtx 960 also. try finding a used i7 870 / 875k for a considerable boost in performance, if you arent ready for a general upgrade yet!

Will Overclocking help?

You're going to have to upgrade your CPU. GTA V won't accept dual-core processors unless you're going to force it to using third-party applications. I'd suggest upgrading your motherboard to an ASRock 990FX and getting either a cheap AMD FX-6300, or just upgrading your motherboard to a decent Z170a by MSI or something, then buying an i5 4690k (and if you don't care about overclocking you can easily pick up a non-K i5 4690-6600). Obviously the AMD route is considerably cheaper, but you get the performance you pay for.
