Most games only care about your graphics card, so I would imagine you should be fine on high\ultra but make sure you update your drivers, this game has some performance bugs right now.

That is not true, CPU's play an important role in games, especially these newer games coming out. CPU's handle everything from feeding the GPU frames, to calculating AI paths and keeping track of every player in the game world. GTA will benefit from a beefier CPU because of the size of the game world. To answer your question OP, you should be fine on high settings, you should definitely look into an upgrade on your CPU in the future though. It is getting pretty dated.

But guys i have stuttering issues with AC UNITY and WATCH DOGS(only).I was told that my GPU could easily handle all games maxed but when i crank up the settings in ac unity and watch dogs i experience stutterings. But it happens only with ac unity and watch dogs.Infact i also experience stutterings when im gaming at 720p in medium settings and this really worries me.But other games like farcry 4,shadow of mordor run smooth in ultra settings.

I think my GPU is working fine because i did the benchmarks on unigine valley and the scores were perfect.Max gpu temp while benchmarking was 70c and the drivers are fully up to date.I think my outdated cpu is bottlenecking the gtx 970 and thus im experiencing stutterings in the games which require heavy cpu power.

I would open some programs like CPUz and task manager and monitor CPU usage and temps while in a game. It'll give you a better idea on how your CPU is handling your games.
