Those are the primary differences, but the Phenom II is also 45nm and capable of much higher clock speeds than Phenom. It is also roughly 10-15% faster than Phenom clock for clock.

In general, comparing two processors of different architecture based on clock speed is a bad idea. When the two CPUs your looking at are of the same architecture then comparing by clock speed is valid.

And don't be surprised by a huge price difference between two processors based on a marginal increase in clock speed (i.e. intel extreme processors)

When comparing two processors of different architecture it is best to consult benchmarks to see how they compare in different applications.
