There should be no issue using that GPU with said motherboard. The form factor of the case and installed backplate on the GPU, along with PSU output/quality (in respect to the new components) could be factors.

thank-you i am re- using my case and my power supply definentaly has the power for it.

witj upgrading it will the ram need to be replaced due to having a differnt mother board.

It would depend on what you are upgrading from. The new motherboard will require DDR4. Ryzen prefers fast RAM as well.
