Clip.exe is the process that checks digital activation (and all other store licences).
Clipup.exe is a new one to me - I assume it's specific to the upgrade and may be corrupted - it can be deleted and will repair itself as windows has a built-in mechanism (to prevent tampering) to repair it's licencing files.
