Computer won't startup with new motherboard.

So recently I got an Asrock Z97 Extreme3 motherboard to replace my Gigabyte GA-H81M-H. Once I assembled everything together it won't boot up and it gave me 3 beeps continuously. It would beep 3 times then pause then beep 3 times again then it will shut down and restart by itself and the process is repeated again. So after trying so many things out such as swapping ram and putting ram into each slot and try only one ram but nothing worked. I thought my cpu was busted during the installation on my new motherboard. So I took everything out and put everything back to my H81 motherboard and everything worked fine like nothing has happened. Is it because my ram or CPU doesn't recognize the new motherboard or is the Z97 board I got was defective.

Seasgate 320GB HDD (Forgot the model)
NZXT Source 210 Case

Has anymore deal with this situation before

 
Apparently it doesn't state anything about beeps. The link you showed me was saying that it was a base 64K ram failure. Is that a memory controller failure. The ram stick worked fine on my H81 motherboard no issues. Could it be a busted motherboard?
 


if everything works fine on another motherboard then its most likely a fault with the motherboard. contact the supplier customer support and explain the situation and ask to rma it.
 
Damn I just realized that I overclocked the ram and the cpu on my h81 board and didn't default the settings. Could that be the reason why it wouldn't boot up with the Z97 motherboard
 
So if I installed the cpu and ram into the new motherboard it should boot up in default settings? When I put my CPU and Ram back to the H81 board it showed the overclocked speeds. Its funny though because I tried reseting the CMOS in the Z97 since they had the jumper but it didn't work it just gives me 3 beeps.
