Computer won't turn on with new proccessor?

This is the motherboard im running GA-MA770T-UD3P motherboard and after i put this proccessor in my computer AMD Phenom II X4 965 Black Edition Deneb 3.4GHz Socket AM3 125W Quad-Core Processor HDZ965FBGMBOX the computer won't turn on, all the fans turn on and everything appears to be running, but the monitor just displays a "no signal error" now as soon as i put my old proccessor back in (AMD Athlon(tm) II X2 245 Processor) it works fine, but for some reason i have to remove some of my ram sticks to get the new proccessor to start the computer again (not sure if thats relevant) but after that i can put the rest of the ram sticks back in, what is causing this?

you plug in the 8 pin cpu power on the motherboard? what your video card? PSU?

I'm running a geforce 240 gt, and i have a 700 watt power supply, but someone told me on here its not a very good power supply, could that be the problem perhaps?

Not sure about the 8 pin, i plugged the fan control thing in though that came with the proccessor, and im not familiar with those terms Alex, i don't know to much about computers.

Just found out the BIOS "award software international inc, fs 11/18/2009" SMbios version says 2.4

Try installing CPU-Z http://www.cpuid.com/softwares/cpu-z.html and under the mainboard tab you will find the rev. and the BIOS version.

Tried to update my BIOS, no version for 64 bit apparently, seems like i am completely screwed.

Yes it is alex, monitor won't connect, tried 2 different monitors.

It might be a processor issue.
You can try though updating the BIOS (read carefully the manual for how to, cause it might render the board unusable if something goes wrong).
Download the latest BIOS from http://www.gigabyte.com/products/product-page.aspx?pid=3257#bios
It doesn't matter if Windows is 32 or 64bit.

Ive been attempting to, but when i try to run the exe file i get an "error, this does not work with the 64 bit windows version" ive used 7 zip to extract them and everything.

I suggested reading the manual. It's important. Check the 4.2 Chapter and use Q-Flash.
