Cpu compatiblity? and worth while upgrade?

Would a Intel Pentium Dual-Core E6500 S775 2.93 GHz 2MB Cache 11x Core Ratio 65W Retail processor be compatible with my motherboard that supports

with a 300 watt psu, and a HD 5670?

And would be worth the upgrade from an E6400 @ 2.2 ghz

my motherboard only supports 65nm tech so this is the best processor i could get, before people suggest better upgrades =P

Pentium Dual Core is an wolfdale processor its 45 nm your chipset will not support it.
