D805 system Continuous Beep and slow 3d (any ideas)

I have just finished building new system but I am having problems.

Asus P5WD2-E
P4 805D
x1800Xt 512mb
2GB Supertalent 4-3-4-8 Ram.
250Gb SATA2
bigwater SE.
Hiper TypeR 580W PSU

Tiny xp beast (for speed of install during testing)

Boots fine (will boot up to 4.1Ghz @1.52V) but even at 2.66 I have problems with 3D..
3dmark05 will run first 3 tests ~ 30FPS then beeps continuously and drops to 2-3 FPS.
ati Overclock utility beeps continuously when testing overclock potential.
rightmark and asus monitor shows no throttling or high temps.
CPU temp at idle 44 never exceeded 61.
GPU temp around 65.
not sure where the Beep is from Motherboard or graphics?

It's most likely from the motherboard. Try reinstalling drivers on the motherboard. By the way, are you using a stock cooler for your 805D?

no the bigwater cololer (i know it's not the best but it's a start)
