Do I need to change the heatsink or fan While upgrading cpu?

Hi,
I have a Dell inspiron 530 socket 775 lga

with a cpu Processor Intel(R) Pentium(R) Dual CPU E2180 @ 2.00GHz, 2000 Mhz, 2 Core(s), 2 Logical Processor(s)

and it is a Foxconn G33M02 motherboard and i want to, upgrade the cpu to an Intel BX80571E7400 Core 2 Duo E7400 Processor,

But I was wondering If i have to change the heatsink or the cooling fan when I upgrade

Sigh, did you ensure the motherboard supports the upgrade to the processor? Most people don't check that.

I'd upgrade then, and I'd put in a new cooler for it's sake - a Hyper 212 Plus or EVO should be plenty! Dirt cheap, too.
