Dual Xeon E5645 Overheat

I have a Dell T5500 with dual E5645 hexacore chips, 20g RAM split between chips, GPU: 1050TI XLR8. Using CoreTemp, I'm showing a single core on the second chip shut down on OH. I run WoW and PC stuff... I have the TI OC at a safe temp and it runs fine. Thermal paste?? Ultimately, if I just remove the daughter CPU and move the RAM over to the MOBO am I truly losing anything? Please advise

Check psu using multitester
Check airflows and cooler
