Gaming Rig around Gfx card

I am thinking of building gaming rig around graphics card. I have two options
1. GTX 960 OC [MSI] + (core i5 4690k + msi z97 sli krait edition motherboard + cooling system)
2. GTX 970 [MSI] + (core i5 4440 + msi h97 gaming 3 motherboard)

My Questions are:
1. Which Configuration would you prefer.
2. Does over clocking would have a great impact ?
3. Any suggestion in changes of above 2 items.

PS: I live in India so the price of each component varies.

1) 100% the second option. A better GPU is always the better option for gaming. The i5 4440 is not a bad processor in any way and is available for as less than Rs 14,000.

2) Yes, but not recommended for a newbie on a expensive card.

3) No
Get 970 and i5 4440. It will give you better gaming performance. Overclocking can improve performance but won't help much with frames on the cpu end unless your cpu is bottlenecking gpu. The gtx 970 is massively better than 960 which should make your choice an easy one.
