Will this video card fit on a MSI PM8M3 -V motherboard and run well with a Pentium 4, Celeron D CPU... Are there any problems with this selection?

So long as you're referring to the AGP version of that card and you have the power supply necessary for it, yes, it will work in your system.

Thanks for the help... What size power supply would you suggest... Right now I have a 350 watt in this unit.

Tom's Hardware actually did benchmark this card. On the Power Usage Benchmark, the total system draw with an HD4650 installed was only 171watts. I would think your 350watt unit to be borderline, sufficient.
