First off, yes, it would run Shadow of Mordor on at least high, probably ultra. My 750ti runs it on high, so the 970 should have no problem. As for the sound card, no, you don't need one.
This build has a more powerful processor, as well as a better brand of RAM. I dropped the SSD and a Case fan, but IMO dropping those for more powerful parts is a better investment. Also, why do you need the sound card?

and a cheaper keyboard
and do you need 2 TB of storage?
 
First off, why bother with a Z97 motherboard, with a locked CPU. That is pointless. Second, that is £70 over budget, just to add a better case and much more expensive power supply. Thirdly, the reason I put in a CPU cooler is because even though it isn't needed, it's always nice to have something cooling the CPU that works better than just a stock intel cooler.
 
this motherboard is cheaper than the one you suggested, gives the choice of upgrading later on. It is also ATX which is better than mATX. Fits better.

II added in my post script that OP could get a cheaper case like the 300R instead. I recommend a 600+W PSU.
