Its a newer processor, running on a newer revision. It carries higher clock speeds, as well as a better thermal design.
The performance may not be noticeable, but when you need the extra performance it will be there. It is worth the extra cost in comparison to replacing the other processor at a sooner date.

Not at all if you are on a budget. But like Gam3r01 said, it would be better if you have more performance than less when needed.
