Yes, it will work on pcie 2.0 without any performance loss. Also, i3 540 will be bottlenecking it though...

The i3 540 is a really weak CPU - http://www.tomshardware.com/reviews/gaming-cpu-review-overclock,3106-5.html.
It will be the bottleneck in any CPU intensive games. Say the sort of games that you would buy a gtx970 for.
