O/C'ing will make a 5-10% performance increase. The only downsides of overclocking is that your CPU will become hotter and theoretically lower your CPU's lifetime by a very small amount, but CPU's were designed to be changed before even overclocked ones break.

How does overclocking give you a negative impact?
 
It can reduce stability on a microscopic level, slow some applications down. I've had the slightest unstable RAM oc and my rendering and folding times increase by up to 2-3 seconds for a 20 minute video and I lost about 4k PPD in F@H.
