How will these two processors compare?

My current laptop has am i3 2310m @ 2.1 GHz. I'm considering replacing it with one that has an i5 4200u @ 1.6GHz. I know Haswell's deal is that it can do more with a low clock speed than Sandy/Ivy Bridge, but how much of an effect does that have? Will a dual-core 1.6 GHz Haswell outperform a dual-core 2.1 GHz Sandy Bridge? Also, when setting the clock speed this low, why would the laptop manufacturer use an i5 instead of an i3?

Since some people seem to not understand what my plans are, let me clarify: my current laptop has the i3. I'm planning on buying a different laptop that has the i5.
 
Yeah, you can't. They are completely different sockets and won't be compatible.

Your i3 is compatible with sockets FCBGA1023 and PPGA988, whilst that i5 is only compatible with socket FCBGA1168.

If you can find an i5 with the same socket compatibility as your i3 you should be ok. Obviously it depends on your BIOS, and your laptop's cooling capabilities.
