i3 4150 and Asus H81M-C vs fx8320 and M5A97

Guys i can get the i3 4150 and Asus H81M-C plus 50 Euro for my fx 8320 and m5a97 motherboard, what do you think schould i take the offer ?

Going from an 8320 to an i3 with a cheap board would be a downgrade so no mate - I wouldn't entertain it.
