I'm planning on getting a GTX 980 on my current CPU and Motherboard. Is my CPU and motherboard still good for 1080p 60fps gaming or do i need to overclock the CPU? If so, can i OC on my current mobo with a decent liquid cooler?

Your CPU and motherboard are fine.

With regards to overclocking, yes, it's certainly possible, but you don't necessarily need a liquid cooler.

There are a few factors to consider when choosing a cooler; primarily whether or not it will fit inside your case and how much you want to spend.

I'm planning to buy a NZXT S340 my budget is around $800

That case will let you mount a 240mm or 280mm liquid cooler at the front, or a 120mm liquid cooler at the rear. The CPU cooler clearance height is 161mm, which isn't much.

The front of the case appears to have restricted air flow, so I'm not entirely convinced that that's the best place for a liquid cooler. I'd suggest that you go see the case and determine if air flow will be an issue.
