Well a 960 is a mid range card, and GTA IV is known to be a bit of a poor console port- it performs worse than it should. I think that is probably more the game than your machine.
I wouldn't think so, the i5 6402p is a pretty decent processor (just slightly lower clocks than some of the other models). A 960 isn't an especially powerful card either- I'd say you're fine there.
Edit: Also another quick point, people worry waaay too much about bottleneck- if it did, it doesn't mean it won't work. It just means you wouldn't be getting the absolute maximum performance from your gpu that you could be. I mean you could probably get a 1070 if you had the money and with that cpu it'd run really well, however you'd find you might get 10 - 15% lower scores than if you paired it with an i7.
