Yes it should boost to 4.0GHz. The motherboard maybe set up to only boost to 4.0GHz when 1-2 cores are loaded and something less than 4.0GHz for 3 and 4 cores loaded. Most motherboards have an option to Sync all cores and then set the frequency to Auto.
No you won't be able to overclock, it will only boost to the max boost speed which is 4.0GHz. Though you maybe able to get it to boost all 4 cores to 4.0GHz with all cores loaded. Non-K CPU's won't overclock.

If you are unsure if it's boosting your core clock to 4.0GHz with all 4 cores loaded, try something like Prime95 version 26.6. Run it with Small FFT's and monitor the clockspeed, it should go to 4.0GHz for all cores. If it only reaches say 3.6GHz, then look in the BIOS for a CPU setting Sync All Cores. This should force it to use the highest multiplier for all 4 cores loaded.
