Is FX-8320 fully compatible with this motherboard?

I am planning to buy new AMD cpu FX-8320 with Gigabyte GA-970A-DS3P motherboard. Question is, will it need to update my bios to run this cpu?

My GPU is Radeon HD6750, which I dont know if it's good, bad or in-between. I was thinking do I need more than 4Gb rams using Win7 64-bit with this new system? Because right now when I'm playing games my Intel dual core E6550 is 100% on load while system barely ever uses 3 gb RAMs.

Also is the over-clocking new cpu worth it with 4 gb or 8 gb rams? Should I consider getting aftermarket heatsink/fan cooler if I dont need OC?

Suggestions for similar hardware setups are welcome.

1. Yes they are compatible
2. 4gb of ram is ok for gaming
3. Memory doesnt matter in CPU overclocking
4. Yes you should get an aftermarket cooler; Scythe Mugen 2 is $26 and the Xigmatek Dark Knight II is $50. Both are great coolers and they overclock really well, also the Scythe is almost silent and the Xigmatek is really quiet.

How do you over-clock this processor? Can you do it straight from your OS interface using some soft or you need to enter BIOS?
What about Hyper 212 EVO cooler in comparison with those two? It's 50% cheaper than the scythe. Also do I need to buy pasta to get it on my CPU?
