Is it worth upgrading?

I currently have a AMD Phenom II x3 710 @ 2.6GHz on a GiGABYTE GA-970A-D3 motherboard... and i have found a good deal on a unlocked AMD Athlon II X3 455 to an AMD Phenom II X4 B55 3.3GHz for 45euro. I'm planning to sell my current processor to a friend for 35euro and add 10 more for this one. Is it a better processor than this one or should i not bother with it? And also, will it run well on my motherboard because my current processor has a max TDP of 95W and the new one has 125W...

Well this site tells a different story... I compare it with the 955 because i found that they are pretty much the same in performance...

It also says the newer CPU is slightly faster.
