They are both LGA775 socket, so yes, it will work.
But the thing is that even if it fits, will it work? Because I heard that others won't boot upgrading their processors saying that they blame it on their BIOS. I have an Award R01-C2 21/7/2006. Sorry but I think I'll rephrase my question - Why doesn't my computer boot after upgrading processor?

Do you have the latest BIOS update? Is "Award R01-C2 21/7/2006" the BIOS revision?

I think I have the latest based on my Acer Website and yes, that is what it said on the msinfo32.
Are you able to get into the BIOS?
Does the psu fan spin?
Does the cpu fan spin?
Or does nothing happen when you press the on button.
I am not able to get into the bios but everything is spinning.
Graphics Card - OK
PSU - OK
CPU FAN - OK
Just a black color screen with working PC lights.
But when I switch back to my old processor, everthing is perfect, working as it should.
Oh yes - one more thing - I need to change my CMOS battery. But I am sure this doesnt affect any of these since I was able to boot with a depleting CMOS battery.
Most likely, it is not working due to the fact that the BIOS is very old. The manufacture chose not to update it, since 2006.
The Core 2 Duo E8700 came out in 2008 I believe, so a lack of BIOS updates is to blame.

Would a Pentium D work then? Or can you suggest other processors to upgrade from Pentium 4 HT?
I have been trying to find more specs on your motherboard. A maximum CPU wattage will help determine the best CPU to put on there. I have been searching, but cannot find anything.
Please let me know if you find more specs.
