Is my hardware good enough for this OC?

I want to overclock my Opteron 165 from the stock 1.8 GHz to 2.2 or 2.4 GHz.
I have a Zalman CNPS7000B-Cu HSF with AS5 on the CPU. I have 2GB of Corsair XMS DDR400: http://www.newegg.com/Product/Product.asp?Item=N82E16820145575

And I am RMAing my mobo and will end up with either an Asus A8N-E, ASUS A8N32-SLI Deluxe, DFI LANPARTY nF4 SLI-DR, DFI LANPARTY UT nF4 SLI-DR Expert, or a DFI LANPARTY UT nF4 Ultra-D.

Is this hardware good enough for the above mentioned OC if I have that cpu, ram, one of those mobos, that PSU, an eVGA 7800GT at stock clocks, 2 300GB SATA hdds, 4 120mm fans in an Antec P180B, and 1 dvd burner.

With a good, overclock-friendly motherboard (any of the ones you mentioned sure fit the bill), 2.4GHz should be doable.

Of course, as always, YMMV.
