Not really.
You really want a Core2Duo.
It will destroy the old Intel CPU you selected.
The motherboard you selected is a bit dated in regards to the Chipset.

This combo will be very close in price with slighly more on the Mobo and slightly less on the CPU (But the CPU is light-years faster in performance.)
The RAM you selected will be just fine for the E4300 CPU and should allow an OC from 1.8Ghz to approximately 3.0Ghz.

thanks for the help. im mostly an AMD user so this intel is a whole new world but i wanted to get into the new processors that are amazing. just wasnt sure what to get.
