Is this a worthy upgrade to my Gaming box?

Hey everyone. I currently have a gaming rig consisting of:

AMD ATHLON X4 760k Oced@4.5Ghz
MSI R9 270X 2G GAMING
8GB 1600Mhz RAM
ZALMAN Z3 PLUs case
EVGA 600B PSU.
Cooler Master Hyper 212 EVO

The rig currently is great. however i have a new plan 😛 I was going ot demote the 760k and my Old 7770 to a HTPC and get a new CPU/MB Windows CD

So here is the List of stuff i was going to upgrade to

And a Retail version of WIN 8

Is this worth it? also with Win7 OEM if i bought a new 500GB HDD for the HTPC could i put the OEM CD on that PC as its the same motherboard and just a reinstall? Any help is appreciated and i really want to know, is this gonna be a good upgrade to my PC?
 
Is this for gaming? Anyway it's a really good budget performer, probably the best price/performance CPU around paired with a 990FX mobo. Be sure to get a nice CPU cooler for it to. If you had a slightly larger budget I'd say get a Xeon 1230v3 and a B or H series motherboard since there'll be no need to overclock - you could even stick with the stock cooler.

As for the windows thing on the HTPC, as long as you stick to the same motherboard it should be fine.
 


So is it worth the upgrade? also is the Hyper 212 EVO i have now good enough for cooling?
 
I'd say a GPU upgrade would be more worthwhile tbh since the 7770 is a little slow.
It depends on what you're playing, single-threaded older games or newer games. I can tell you that when I went from a FX 6200 to an FX 8320 I saw my FPS almost double in quite a few single threaded titles, when I OC'd to 4.2. You might see more or less depending on how your athlon currently performs and what games you play. I'd say a conservative maybe 10 FPS boost in most AAA games.

The 212 EVO is sufficient up to around 4.5GHz.
