im probably going to play dark souls 2 and battlefield 4, will it be able to handle max settings at stable fps or at least high settings at stable fps. Will the cpu fan be able to take som overclocking of the cpu?

Yes, it will fit. Those sticks aren't that high at all. Nice and low.

The great thing about the hyper 212 is, you can adjust the fan height if needed to clear the ram. But I'm pretty sure you won't even need to do that with that ram.
That cpu cooler would be better than the stock cooler, but not really ideal for overclocking. If you want a medium overclock, look to the cooler master Hyper 212 evo. If you want an aggressive overclock, look to the Noctua NH-D14 or NH-D15.

What CPU are you looking at?
What resolution is your monitor?
 
For BF4 on ultra settings at 1920x1080 you can expect 42FPS average
For BF4 on high settings at 1920x1080 you can expect 67FPS average
