Increase the PSU to 750w and pick an Asus or Asrock mobo and you should be set!(MSI's don't OC well from my experience.)

Assuming you're going for a gaming PC, looks pretty solid. However, the original Phantom is a fairly old case and lacks modern comforts such as USB3.0. I would recommend the Phantom 630 or 820. Very much so, but it's also overkill. I never recommend anything over an ASUS Sabertooth, and even that is more than most people need. An ASRock Extreme6 would likely be fine for what you're doing.

Technically, yes. However, using a MicroATX in a large full tower case is a bit suboptimal. Why not use a full ATX mobo?

What you need varies by what you plan to do with your computer. I assumed, looking at your build, that you were going for "max every game for the next two years", which SLI 670s would likely do. If you're only looking for a solid gaming computer to play on mid-high settings, you could easily cut your price by 33-50%. I would also note that if you want to buy nVidia, you should probably wait for the 700 series to be released. Even if they don't merit buying, they will probably drive down the price on the older cards.
