does this all look good?

Assuming you're going for a gaming PC, looks pretty solid. However, the original Phantom is a fairly old case and lacks modern comforts such as USB3.0. I would recommend the Phantom 630 or 820. I would also use this PSU instead, as 650w is a bit low for an SLI: http://www.newegg.com/Product/Product.aspx?Item=N82E16817151107&nm_mc=AFC-C8Junction&cm_mmc=AFC-C8Junction-_-na-_-na-_-na&cm_sp=&AID=10446076&PID=3938566&SID=
You may also want to consider a higher-end CPU cooler, such as the Noctua DH14.

IS this a better motherbord?
Motherboard: Asus Maximus V Formula/ThunderFX EATX LGA1155 Motherboard ($299.99 @ SuperBiiz

Very much so, but it's also overkill. I never recommend anything over an ASUS Sabertooth, and even that is more than most people need. An ASRock Extreme6 would likely be fine for what you're doing.

Will this work?

Technically, yes. However, using a MicroATX in a large full tower case is a bit suboptimal. Why not use a full ATX mobo?

do i need 2-Way SLI on my first computer? its expensive

Once again, I view the Maximus V as overpriced, but it's your money.

What you need varies by what you plan to do with your computer. I assumed, looking at your build, that you were going for "max every game for the next two years", which SLI 670s would likely do. If you're only looking for a solid gaming computer to play on mid-high settings, you could easily cut your price by 33-50%. I would also note that if you want to buy nVidia, you should probably wait for the 700 series to be released. Even if they don't merit buying, they will probably drive down the price on the older cards.

what would you suggest instead of the maximus V. i think i dont need the SLI but ill look at it

At the high-end of motherboards, the ASUS Sabertooth. It has a good warranty and is a generally excellent board, but it costs quite a bit (though still less than the Maximus).
In the middle-cost range, the ASRock Extreme6 is a very good board, though its warranty leaves something to be desired, and people have at times had trouble with ASRock's customer service.
