I have an old HP Elitebook 8460p. It has Intel i5-2520M. I already have upgraded it to SSD and I also have increased the memory to 8GB.

I am planning to upgrade the CPU as well. A friend gave me a defective Thinkpad T430 from which I got an Intel i5-3320M.

Will the i5-3320M work well if i put it in the Elitebook? Is this upgrade even possible?

Sorry, noob here.

With proper BIOS update it would support Ivy Bridge cpus.

It's just - upgrade from i5-2520M to i5-3320M doesn't make a lot of sense.
They have max turbo difference of only 100mhz. That is ~3% performance difference.
It's nothing to do with BIOS, it's the chipset that doesn't support that i5. Only a handful of 3rd Gen Ivy Bridge CPU's are possibly compatible, and even then they aren't guaranteed to work.

. i7-3612QE
. i7-3610QE
. i7-3517UE
. i7-3555LE
. i5-3610ME
. i3-3120ME

I really wanted to do the upgrade, albeit small.

I am actually confused now since the answers provided here somehow conflicts with each other.

@AdmiralDonut is actually correct here. There are 2 chipsets listed in the manual in their link.
https://ark.intel.com/content/www/us/en/ark/products/52808/mobile-intel-hm65-express-chipset.html

If you click on 'Compatible Products', the I5-2520M can be found, but not the I5-3320M.
The I5-3320M is listed with:
-QM77
-QS77
-HM77
-HM76
-HM75
