Looking for a pure video encoding PC (non-gaming, for 2 PC video streaming setup)

To begin with, my current setup is kinda very very old (something @ lga 775, I don't even remember full specs) and it's getting to 10 years old mark. I am currently saving a for full gaming setup based on lga 2011, but that's not the problem, I already looked up some parts and will eventually start building. The problem is that I want to make 2-PC setup for streaming and I need another PC which will do the encoding part (through capture card). I know that I need to focus more CPU than GPU. I have looked for upgrades to my lga 775 oldish setup, but I am starting to feel that it's not wise to invest in dead platform, and I will loose more money than save. So I need something pure for video encoding, and I guess I am looking for something without multiple PCIe's\SLI support on mobo and internal graphics and if it will be mATX mobo, this would be great as I want to stick this encoding setup in small case and place it nearby that big gaming PC I have been saving for, so they both don't take too much space. I have never done overclocking, but I am ready to try if I can save some money by doing that. Budget is kinda modular as for sure I can go all out and build two same PC's, but the point is to build something pure for encoding, so I don't have to pay for SLI support or great internal graphics which I don't need. You might save on total cost if you buy a high-end i7 processor (or Xeon, for that matter) since there are enough threads/cores in that to easily stream your video. My older i5 setup doesn't break a sweat streaming 720P video from a game. Or running Fraps while gaming.
