Looking to upgrade an old computer, help?

Alright I am trying to help a friend upgrade her computer. The budget for the upgrade is 300 euros (Otherwise known as $394, lets go with $400 though) . We're mostly looking for a new Processor I believe, maybe a new mobo. But the main goal is to get it to play Assassin's Creed 3. Thank you in advance for any help.

Here are the specs I was given.

Windows 7 ultimate 64
AMD Athlon 64 X2 5000+
Winsor 90nm Technology
6gb ram
Asustek computer inc. M2N-VM HDMI (AM2)
ASUS EAH6670 Series (ASUStek Computer Inc)
