Looking to Upgrade PC need some Expert Advise

I want to upgrade my Motherboard and Processor b

Motherboard Details: Intel

Southbridge Intel 82801GB (ICH7/R) rev. A1

Memory: DDR2 Size: 3GB Channel: Dual

CPU: Intel Pentium E2140 Cores:2
Package: Socket 775 LGA
Specification: 2140 @1.60GHz

Drive: Hitachi HDS721050CLA360 500GB (2 Months old)

Reason to upgrade: Every few days pc will have bios problem(black screen on the start up with blinking cursor)

I am planning for a intermittent upgrade and after some years i am planning to replace the whole system

I want to upgrade to a new processor . If required i can also upgrade motherboard and RAM . My max budget is $150. Please help me with your valuable suggestions. Upgrade need not only be the latest one, bit older but workable and in budget solution would be sufficient

what do you plan on using it for?

it is hard to fit a decent rig with 150$ when you need a mobo+ram+cpu upgrade
