Low budget PC upgrade

Hey guys!
I'd like to upgrade my PC. My budget is $350, I know it's not much. I need a new CPU (current: Intel Pentium 4 or whatever but it's ancient), a new motherboard, ATX if possible for future upgrades (current: Asus P5SLNI, also ancient), and at least 8 GB-s of RAM. (current: 4 GB). For this much this is not an easy task to get an upgrade, but I hope someone can come up with a great combo.

If its that ancient Pentium 4 it means that you cant really do an upgrade you are going to be building a Pc from scratch as none of the components even the case would be good enough for a shiny new build.

Would you like a new build ? in around less than 380 ?

Well I've considered a new build, but I don't have the money. I figured I would keep the case, hard drives, grapicscard and the antenna and only buy those 3 new things. Why wouldn't they fit?

Yeah I agree with you, would probably be a good idea to replace the power supply as well. I don't know what kind of GPU he has either. It is very difficult to get it to $350. This is pretty budget build that I came up with but it is over budget...

Wow I'm overwhelmed guys. Okay so I made a list of the components:
Case: GYGABITE Cupio 6140
Optical Drive: ASUS DRW-24B5ST
Antenna: TP-LINK TL-WN881ND
GPU: AMD Radeon HD 5670
CPU: Intel Pentium 4
HDDs: Hitachi S543225L9A300, Samsung HD200 HJ
SSD: Corsair Force 3

So this is what I was thinking: reusing the case, grapics card, HDDs and the SSD, the optical drive and the antenna, so we can spare some money on those. Thoughts? :)

Yes, it was a pretty mediocre build but the motherboard fried and took out the CPU and RAMs too and I only found these crappy parts to replace them with.
