Hi i would like to know how often does motherboard die in slightly over clocked system *example i5 4690k @ 4.3GHz or Fx 8350 @ 4.7GHz.
What is common lifespan of a motherboard 3years, 5years, more, less?
Do i lose warranty if i paint heat sinks on motherboard?

*plan to grab z97 or 990x msi, gigabyte or asus for next build for 120-150$

Any modifications to a motherboard will void your warranty. A good motherboard will last forever. I've only ever replaced 1 motherboard as a result of faulty behavior. Even my older Pentium D based motherboards are still working in systems that I've given away. So I'd say 3-5 years is easy for any decent motherboard.

Generally if anything is going to die, it'll be the component BEING overclocked (GPU, CPU, RAM) not the motherboard itself.

A motherboard's lifespan has a lot of factors: The quality, how often it's messed with and used, how much dust and dirt are on it, how often it's cleaned, etc. Some motherboards live 10+ years fine, some die in 4 days. You never know. The more you mess with it and toy with it, the greater chance it'll fail.

I'd assume so, since you're potentially damaging the hardware doing so.

There are a few you can get black and white stock. I'm currently using an MSI Z97S Krait Edition (although it's for Intel chipsets). I would avoid painting heatsinks if possible, as it might affect their ability to dissipate heat.

If you mean replacing a heatsink on your motherboard itself, no. If you mean the stock CPU heatsink/fan, then yes, especially if you're overclocking. If you're building the PC yourself, you'll need thermal compound, aftermarket coolers come with thermal compound tubes for you.
